Membership Agreement
PARTIES
1.a)This membership agreement is PATIRTI TEKSTİL A.Ş.
. It is made between (PTR) and the "member" and contains the conditions regarding the member's use of the services offered on the website www.patirti.com, operating under PATIRTI TEKSTİL A.Ş.
1.b) PATIRTI TEKSTİL A.Ş. (PTR) and “member” shall be referred to individually as “party” and jointly as “parties”.
2. SUBJECT OF THE MEMBERSHIP AGREEMENT
2.a) The subject of this Agreement is the determination of the general terms of use, rules, terms of use of the member and legal responsibilities of the www.patirti.com website owned by PTR.
2.b) In accordance with this Membership Agreement, the Member wishes to become a member of the electronic commerce platform www.patirti.com managed by PTR and purchase products and/or services sold in the Virtual Store on this platform.
2.c) In order to establish a contractual relationship between the parties, the Member must fill in the information requested from the member on the www.patirti.com website, enter the password he/she will determine and provide the specified approvals and permissions. In case of any deficiency in the membership information, the Member may call PTR's customer services or update the membership information via the website. Otherwise, the Member accepts that PTR has no responsibility by approving this contract.
2.d) The Member accepts and undertakes that the personal and other information provided while becoming a member of the www.patirti.com website is correct and that PTR has no responsibility if the information is not correct. The Member who does not provide correct and up-to-date information while filling out the said Membership Agreement is personally responsible for all damages that may arise due to this reason.
2.e) If the Member wishes to initiate any legal action or purchase process regarding the products and advertisements viewed on the Website, he/she accepts and declares that he/she is obliged to fulfill all necessary legal obligations and legal procedures, including those stated on the Website, and that PTR has no knowledge or responsibility regarding such obligations and procedures.
2.f) All credit card and bank card transactions and approvals made by the Members through the www.patirti.com website are carried out online between the relevant Bank, Credit Institution and/or Payment Service Providers and the Members. None of these payment transactions are carried out or approved by PTR. Therefore, PTR does not see or record the Members' credit card etc. payment instrument passwords unless requested by the Member. However, if the customer approves the issue of "Recording credit card information to PTR for fast shopping", PTR is responsible for the protection of this information within the scope of the terms of this contract.
2.g) The Member declares that he/she accepts and undertakes to act in accordance with the provisions of this Membership Agreement, all conditions specified on the website, applicable legislation and ethical rules in the transactions and correspondences he/she carries out on the website. The Member shall be held legally and criminally responsible for the transactions and actions he/she carries out within the website. PTR may share the information it holds about the Member with the relevant authorities upon request in accordance with the applicable legislation.
2.h) PTR has taken measures within the available means to ensure that the www.patirti.com website is free from viruses and similar software. In addition, in order to ensure ultimate security, the Member must provide his/her own virus protection system and provide the necessary protection. In this context, by entering the www.patirti.com website, the Member is deemed to have accepted that he/she is responsible for all errors that may occur in his/her own software and operating systems and their direct or indirect consequences.
2.i) Each member may have only one account. In the event that it is determined that a member has more than one account, the closing and/or freezing of the accounts detected to be fraudulent without notification to the member is at the sole discretion of PTR; the member accepts and undertakes this. The gains of the member who tries to gain profit from the system with more than one account will not be protected and in the event of a violation occurring more than once, since the relevant violation will be a fundamental violation of the member agreement, PTR reserves the right to resort to other legal means, including expulsion from membership.
2.j) PTR is not responsible for any direct or indirect damages that may arise due to entering this website, using the site or the information and other data on the site, programs, etc., breach of contract, tort or other reasons. PTR is not responsible for damages that may occur due to interruption of the transaction due to breach of contract, tort or other reasons. This matter is accepted by the member.
2.k) The user name and password information that the member needs to perform transactions on the www.patirti.com website are created by the member, and the security and confidentiality of such information are entirely the responsibility of the member. The member accepts, declares and undertakes that the transactions made with his/her user name and password are performed by him/her, that the responsibility arising from these transactions belongs to him/her in advance, that he/she cannot put forward any defense and/or objection that he/she did not perform the work and transactions performed in this way and/or that he/she will not avoid fulfilling his/her obligations based on this defense or objection.
2.l) PTR reserves the right to change any services, products, site usage conditions and information provided on this site and its extensions without prior notice, to reorganize the site, and to cease publication. Changes shall enter into force at the time of publication on the site. These changes shall be deemed to have been accepted by using or logging into the site.
2.m) In the event that any unjust and/or unlawful gain is obtained from the www.patirti.com website through any act constituting a crime and/or misdemeanor in accordance with the Turkish Penal Code numbered 5237 and other legislation in force and PTR suffers any damage in this way, the member who caused the damage to PTR may demand all damages including but not limited to the loss of profit and judicial and/or administrative fines, including but not limited to the compensation debt arising from third party claims, and all payments and expenses (including but not limited to court costs, fines, taxes, duties, charges, all kinds of expenses) made or to be made in the future, without the need for any warning, notification and approval of third parties.
INTELLECTUAL PROPERTY
3.a) No materials (images, graphics, logos, etc.) found on the www.patirti.com website, including code and software, may be changed, copied, reproduced, translated into another language, republished, uploaded to another computer, posted, transmitted, presented or distributed without prior permission and without citing the source. The entirety or part of the website may not be used on another website without permission. Contrary actions require legal and criminal liability. PTR reserves all other rights not expressly stated herein. In the event that the Member violates PTR's intellectual and industrial property rights in any way, PTR may claim compensation for all direct and indirect damages it has suffered and/or may suffer at any time in the future.
SECURITY
4.a) PTR attaches importance to the processing, security and protection of the personal data shared by the member with it within the framework of the Personal Data Protection Law No. 6698 etc. within the framework of the legal regulations. The member expressly and freely consents to the collection, use, transfer and other processing of his/her personal data within the framework of the conditions indicated above. The member has the right to reach the user for communication, marketing, notification and other purposes via letter, e-mail, SMS, telephone conversation and other means through the address, e-mail address, fixed and mobile telephone lines and other communication information specified in the registration form to the site and updated by him/her later. By accepting this agreement, the user accepts and declares that PTR may engage in the communication activities specified above, unless otherwise notified in writing.
4.b) PTR may share the information held by the Member with the relevant authorities upon request of the competent authorities in accordance with the legislation in force within the framework of Article 2.g) of this agreement. The Member accepts and declares that he/she consents to the use and storage of his/her personal data by PTR in this manner. PTR will take all necessary measures to ensure that the personal data in question is stored securely in accordance with Article 12 of the Law on the Protection of Personal Data No. 6698, and to prevent unauthorized access and unlawful data processing. The Member has the right to exercise the rights he/she has on his/her personal data in accordance with Article 11 of the Law on the Protection of Personal Data No. 6698, and to make changes or updates to these data at any time.
FORCE MAJEURE
5.a) If the party subject to Force Majeure cannot perform the obligations it is obliged to perform within the framework of this membership agreement, it will not be liable. The determination of force majeure will be determined and assessed in accordance with the provisions of Article 2 and Article 3 of the Turkish Code of Obligations No. 6098 and the Turkish Civil Code No. 4751. The party subject to force majeure cannot be held liable for the obligations that are prevented or delayed as a result of force majeure, and this situation cannot be considered as a violation of this Membership Agreement.
TERMINATION OF THE CONTRACT
6.a) From the moment the member completes the registration process, he/she is deemed to have accepted the terms and conditions set forth in this agreement and this agreement has entered into force. The agreement will automatically terminate and become null and void without any need for warning upon termination of membership and/or upon the occurrence of any of the termination conditions listed in this agreement.
